By accessing, browsing, visiting, using, purchasing, subscribing to, registering for, or otherwise interacting with our website, services, communications, software, systems, content, or business offerings, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable laws and regulations. These Terms apply to all visitors, users, customers, clients, prospective clients, subscribers, and any other persons who access or use our website or services, whether acting individually or on behalf of a business, organization, or other entity. If you are accessing or using our website or services on behalf of a business, company, organization, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. Juliet Systems reserves the right to refuse service, suspend access, terminate accounts, restrict access, or discontinue services at its sole discretion and without liability, subject to applicable law. By continuing to access or use our website or services, you acknowledge and agree that your continued use constitutes ongoing acceptance of these Terms and any future modifications made in accordance with our policies.

While Juliet Systems strives to provide effective and professional services, we do not guarantee any specific results, outcomes, rankings, review ratings, review volume, customer participation rates, website traffic, search engine visibility, lead generation performance, conversion rates, revenue increases, business growth, or other measurable business results. Actual results may vary based on numerous factors beyond our control, including market conditions, customer behavior, competition, industry trends, third-party platform policies, and client implementation. Certain services may be subject to separate agreements, proposals, statements of work, subscription terms, maintenance agreements, service plans, or other contractual documents. In the event of a conflict between these Terms and a separately executed written agreement, the written agreement shall control to the extent of the conflict. Juliet Systems reserves the right, at any time and in its sole discretion, to modify, suspend, limit, enhance, replace, discontinue, or remove any service, feature, functionality, technology, pricing structure, subscription offering, support option, website service, review management service, or business offering without prior notice and without liability, except where otherwise required by applicable law. We further reserve the right to determine the scope, manner, methods, technologies, providers, platforms, and resources used to deliver our services, and may update or change such methods as necessary to maintain, improve, secure, or operate our business and services. By purchasing, subscribing to, or using any Juliet Systems service, you acknowledge and agree that the availability, functionality, and scope of services may evolve over time and that Juliet Systems retains full discretion regarding the operation and management of its business offerings.

Juliet Systems is committed to providing professional reputation management, customer feedback, review generation, website design, website development, website maintenance, and related digital business services. While our services are designed to help businesses strengthen their online presence, improve customer engagement, enhance brand visibility, and support business growth, we make no guarantees, representations, or warranties regarding any specific results or outcomes. By using our services, you acknowledge and agree that business performance, customer behavior, online visibility, review activity, search engine rankings, website traffic, lead generation, and other measurable outcomes are influenced by numerous factors that are beyond the control of Juliet Systems. Without limiting the foregoing, Juliet Systems does not guarantee:

-A specific number of customer reviews

-A specific review rating or review score

-Five-star reviews or exclusively positive reviews

-Increased customer participation in review requests

-Improved online reputation

-Increased search engine rankings or visibility

-Placement in search engine results

-Increased website traffic

-Increased lead generation or conversions

-Increased customer inquiries or sales

-Increased revenue, profits, or business growth

-Improved customer retention

-Improved brand recognition

-Specific marketing outcomes or return on investment

-Any particular business, financial, or commercial result

Customer reviews, ratings, feedback, testimonials, and other user-generated content are submitted voluntarily by customers and are based upon their own individual experiences, opinions, and perceptions. Juliet Systems does not create, fabricate, alter, manipulate, suppress, edit, purchase, or otherwise control customer reviews or review outcomes. As part of our reputation management and review generation services, we may provide tools, systems, automation, communication workflows, recommendations, and strategies designed to encourage customer feedback and review participation. However, the decision to leave a review, the content of any review, and the rating assigned by a customer remain entirely within the control of the customer. Additionally, Juliet Systems provides website design, website development, website maintenance, and related digital services. While we strive to create professional, functional, and effective websites, we do not guarantee that any website will generate a specific number of visitors, leads, customers, sales, conversions, rankings, revenue, or other business results. Website performance may be affected by factors including market conditions, competition, customer behavior, advertising efforts, search engine algorithms, hosting providers, third-party integrations, and numerous other variables beyond our control. Any examples, case studies, testimonials, projections, estimates, demonstrations, performance metrics, or statements regarding potential results are provided for illustrative purposes only and should not be interpreted as guarantees or promises of future performance. You expressly acknowledge and agree that results will vary from client to client and that your success depends on factors including, but not limited to, your business practices, customer service, market conditions, industry competition, customer experiences, implementation efforts, and other circumstances outside the control of Juliet Systems. By using our website and services, you assume all risks associated with your business decisions and acknowledge that Juliet Systems shall not be liable for any failure to achieve desired results, business objectives, financial goals, reputation improvements, website performance targets, or other expectations. You acknowledge that results may vary.

4. Client Responsibilities

Client Responsibilities and Acceptable Use

Clients of Juliet Systems agree to use our reputation management services, review generation systems, customer feedback tools, website design services, website development services, website maintenance services, and all related products and services in a lawful, ethical, and responsible manner. By using our services, clients represent and warrant that all information provided to Juliet Systems is accurate, complete, current, and authorized for use. Clients are responsible for maintaining the accuracy of information submitted to us and for promptly notifying us of any material changes that may affect the services we provide.

Clients agree to:

-Provide accurate and truthful business information

-Provide accurate contact information and account details

-Maintain ownership rights or authorization for any content, materials, images, logos, trademarks, text, data, or other information submitted to Juliet Systems

-Use our services in compliance with all applicable local, state, federal, and international laws and regulations

-Comply with the terms, policies, and guidelines of third-party platforms, including review sites, search engines, social media platforms, hosting providers, and other services used in connection with our offerings

-Cooperate with reasonable requests necessary to provide services and support

-Review and approve website content, business information, and project materials where applicable

-Maintain appropriate access credentials and account security for any systems under their control

Clients further agree that they shall not:

-Submit false, inaccurate, misleading, deceptive, or fraudulent information

-Provide fake customer information or fabricated contact data

-Create, solicit, purchase, or submit fake reviews

-Request or encourage fraudulent, misleading, manipulated, or deceptive reviews

-Impersonate another person, business, or entity

-Use our services for unlawful, abusive, harmful, fraudulent, or unethical purposes

-Violate the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party

-Upload, distribute, or transmit malicious software, malware, viruses, ransomware, spyware, or other harmful code

Attempt to interfere with, disrupt, damage, or gain unauthorized access to our systems, websites, networks, software, or services

Use our services in a manner that could expose Juliet Systems to legal liability, regulatory action, reputational harm, or platform penalties

Because Juliet Systems also provides website design, website development, website maintenance, and related digital services, clients are solely responsible for ensuring that the content, materials, data, products, services, claims, and information displayed on their websites comply with applicable laws and regulations. Juliet Systems does not independently verify the legality, accuracy, or compliance of client-provided content and reserves the right to refuse, remove, suspend, or discontinue services involving content that we believe may violate applicable laws, regulations, platform policies, or these Terms. Clients acknowledge that failure to provide requested information, approvals, content, access credentials, technical resources, or other necessary cooperation may delay, limit, or prevent the successful completion of services. Juliet Systems shall not be responsible for delays, interruptions, or performance issues resulting from a client's failure to fulfill their responsibilities. Juliet Systems reserves the right, at its sole discretion and without prior notice, to investigate suspected misuse of its services and to suspend, restrict, refuse, terminate, or discontinue services, accounts, projects, subscriptions, website services, review management services, or other offerings if we determine that a client has violated these Terms, engaged in misuse, provided false information, participated in fraudulent activity, or otherwise acted in a manner that may expose Juliet Systems to legal, financial, operational, or reputational risk. Any suspension or termination of services under this section shall not limit any other rights or remedies available to Juliet Systems under these Terms, applicable law, or any separate agreement between the parties.

5. Compliance with Review Platform Policies

Third-Party Platforms and Compliance

Juliet Systems provides reputation management services, review generation systems, customer feedback solutions, website design services, website development services, website maintenance services, and related digital business solutions. Many of these services may interact with, integrate with, reference, or rely upon third-party platforms, websites, applications, software providers, and online services that are owned and operated by independent third parties. As part of our reputation management and review generation services, our systems and recommendations are intended to operate in a manner consistent with the publicly available policies, guidelines, and standards of applicable review and business platforms, including but not limited to:

-Google

-Yelp

-Facebook

-Bing Places

-Apple Business Connect

-Better Business Bureau (BBB)

-Trustpilot

-Nextdoor

-Angi

-Industry-specific review platforms

-Social media platforms

-Search engines

-Other third-party review, feedback, and reputation management platforms

Because these platforms are independently owned and operated, Juliet Systems does not control and cannot guarantee the policies, practices, algorithms, moderation decisions, ranking systems, account actions, review filtering systems, or enforcement procedures of any third-party platform. Clients acknowledge and agree that:

-Third-party platform policies may change at any time without notice.

-Search engine algorithms, review platform guidelines, and ranking factors are outside the control of Juliet Systems.

-Review platforms may remove, filter, suppress, reject, delay, or otherwise modify the visibility of reviews for reasons determined solely by the platform.

-Platform accounts may be restricted, suspended, limited, disabled, or terminated by the applicable provider.

-Search rankings, review visibility, profile performance, and platform features may fluctuate over time.

-Juliet Systems has no authority to compel a third-party platform to publish, remove, restore, modify, rank, promote, or otherwise manage reviews or business listings.

Clients are solely responsible for complying with the terms, conditions, policies, guidelines, and requirements of all third-party platforms they use in connection with their business operations. Clients further agree not to engage in activities that violate platform policies, including but not limited to the submission of fake reviews, misleading reviews, fraudulent customer information, deceptive business practices, spam, manipulation of review systems, or any other prohibited conduct. Juliet Systems does not endorse, encourage, facilitate, or participate in the creation of false, misleading, deceptive, incentivized, purchased, fabricated, or otherwise non-compliant reviews. All customer reviews should be submitted voluntarily and reflect the genuine experiences and opinions of the individual customer. Additionally, because Juliet Systems provides website design, website development, website maintenance, and related digital services, clients may choose to integrate their websites with third-party platforms, review services, plugins, social media networks, communication tools, analytics providers, hosting companies, payment processors, and other external technologies. Juliet Systems is not responsible for the functionality, availability, security, performance, policies, or actions of any third-party service integrated into or connected with a client's website. Clients acknowledge that the use of third-party services may involve risks beyond the control of Juliet Systems, including service interruptions, policy changes, security incidents, account restrictions, compatibility issues, data loss, algorithm updates, or changes in platform functionality. To the fullest extent permitted by law, Juliet Systems shall not be responsible or liable for any penalties, account restrictions, review removals, ranking changes, policy enforcement actions, suspensions, terminations, losses, damages, or other consequences resulting from actions taken by third-party platforms, service providers, review sites, search engines, social media companies, hosting providers, software vendors, or other external entities. By using our services, clients acknowledge that third-party platforms operate independently of Juliet Systems and that any relationship, account, listing, profile, website integration, or interaction with such platforms remains subject to the applicable third party's own terms, policies, procedures, and enforcement decisions.

6. Payment Terms

Fees, Billing, and Payment Terms

Certain services provided by Juliet Systems may require payment of fees, subscription charges, setup fees, maintenance fees, project fees, recurring service fees, hosting fees, consulting fees, or other charges as communicated to the client. These fees may apply to reputation management services, review generation systems, customer feedback solutions, website design services, website development services, website maintenance services, hosting-related services, digital marketing solutions, automation services, and other business offerings.

Prior to the commencement of paid services, Juliet Systems will communicate applicable pricing, billing terms, service plans, subscription details, project costs, or other financial obligations through a proposal, invoice, order form, service agreement, subscription agreement, statement of work, website, or other written communication.

Clients agree that:

-Fees and pricing will be communicated before paid services begin.

-All fees are due and payable according to the agreed-upon payment schedule.

-Clients are responsible for providing accurate billing and payment information.

-Clients authorize Juliet Systems to process payments using approved payment methods where applicable.

-Failure to make timely payments may result in service interruptions, project delays, suspension of services, restricted access, account limitations, or termination of services.

-Clients remain responsible for all outstanding balances regardless of service suspension or termination.

-Juliet Systems may require deposits, setup fees, milestone payments, recurring subscription payments, or advance payments depending on the nature of the services being provided.

For website design, website development, website maintenance, hosting assistance, and related digital projects, Juliet Systems may require partial or full payment before work begins, during project milestones, upon project completion, or according to a recurring maintenance or subscription schedule. Project timelines may be extended if required payments are not received when due. or recurring services, including reputation management services, review generation services, website maintenance plans, hosting-related services, software subscriptions, or other ongoing services, fees may be billed on a monthly, quarterly, annual, or other recurring basis as specified in the applicable agreement. Late payments may be subject to:

-Service suspension or interruption

-Project delays

-Removal of access to certain services or features

-Collection activities

-Additional administrative costs

-Interest or late fees where permitted by applicable law

Unless expressly stated otherwise in a written agreement signed by Juliet Systems, all payments, deposits, setup fees, subscription fees, project fees, maintenance fees, and other charges are non-refundable. This includes situations where services have commenced, resources have been allocated, work has been performed, software has been provisioned, accounts have been established, or business costs have been incurred on behalf of the client. No refund shall be due based upon dissatisfaction with review outcomes, review volume, review ratings, customer participation levels, search rankings, website traffic, lead generation results, marketing performance, business growth, revenue expectations, or other outcomes that are outside the direct control of Juliet Systems. Juliet Systems reserves the right to modify pricing, fees, service plans, subscription rates, billing structures, payment methods, or service offerings at any time. Any changes affecting existing recurring services will be implemented in accordance with applicable agreements and applicable law. In the event of a billing dispute, clients agree to notify Juliet Systems and provide a reasonable opportunity to investigate and resolve the matter before initiating any chargeback, payment reversal, bank dispute, or similar action. Any separate no-chargeback provisions contained in a client agreement shall remain fully enforceable. Juliet Systems reserves all legal and equitable remedies available for the collection of unpaid amounts, including recovery of reasonable collection costs, administrative expenses, attorneys' fees, court costs, arbitration costs, and other expenses incurred in enforcing payment obligations to the fullest extent permitted by law.

7. Cancellation and Termination

Suspension, Cancellation, and Termination of Services

Juliet Systems reserves the right, at its sole discretion and to the fullest extent permitted by law, to suspend, restrict, refuse, cancel, discontinue, or terminate any service, account, subscription, project, website, communication platform, review management service, or other business offering at any time and for any lawful reason. This right applies to all services provided by Juliet Systems, including but not limited to reputation management services, review generation systems, customer feedback services, website design services, website development services, website maintenance services, hosting-related services, automation services, consulting services, and any other products or services offered by the Company.

Juliet Systems may suspend, limit, or terminate services without prior notice if we determine, in our sole judgment, that:

-A client has violated these Terms and Conditions

-A client has violated a separate service agreement or contract

-A client has provided false, inaccurate, misleading, or fraudulent information

-A client has engaged in unlawful, deceptive, abusive, or unethical conduct

-A client has submitted fake customer information or fraudulent review requests

-A client has attempted to manipulate review platforms or violate third-party platform policies

-A client has failed to make required payments when due

-A client has initiated an improper chargeback, payment dispute, or payment reversal

-A client's actions create legal, financial, operational, reputational, or security risks for Juliet Systems

-Continued service would violate applicable laws, regulations, platform requirements, or contractual obligations

-Technical, operational, business, or security concerns require suspension or termination of services

Juliet Systems additionally reserves the right to discontinue, modify, replace, suspend, or retire any service, software, feature, subscription plan, pricing structure, technology, platform integration, website offering, or business solution at any time, with or without notice, subject to applicable law. Website Services Because Juliet Systems offers website design, website development, website maintenance, and related digital services, failure to make required payments or comply with applicable agreements may result in:

-Suspension of website maintenance services

-Suspension of website updates and support

-Suspension of hosting-related services managed by Juliet Systems

-Restriction of access to website-related systems or administrative tools

-Delays in project completion

-Termination of ongoing website services

Clients remain responsible for all outstanding fees, charges, and contractual obligations regardless of any suspension, cancellation, or termination of services. Client Cancellation Clients may request cancellation of services in accordance with the cancellation provisions contained in their service agreement, subscription agreement, proposal, statement of work, invoice, maintenance plan, or other applicable contract. Unless otherwise stated in a separate written agreement:

-Cancellation requests must be submitted in writing.

-Cancellation requests do not eliminate responsibility for outstanding balances.

-Fees previously earned, accrued, or incurred remain payable.

-Setup fees, onboarding fees, completed project fees, and other non-refundable fees remain non-refundable.

-Services may continue until the expiration of the applicable billing cycle, notice period, or contractual term.

For recurring services, including reputation management subscriptions, review generation services, website maintenance plans, hosting-related services, software subscriptions, and other ongoing service plans, cancellation will generally become effective at the conclusion of the current billing period unless otherwise specified in writing. Effect of Termination Upon suspension, cancellation, or termination of services:

-Client access to certain systems, platforms, tools, or services may be restricted or discontinued.

-Juliet Systems may cease providing support, maintenance, updates, communications, or related services.

-Outstanding invoices and unpaid balances shall become immediately due and payable to the extent permitted by law.

-Certain client data, content, project files, website assets, communications, records, and account information may be retained in accordance with our Privacy Policy, legal obligations, operational requirements, and record retention practices. Termination of services shall not affect any rights, remedies, obligations, payment responsibilities, limitations of liability, indemnification obligations, dispute resolution provisions, intellectual property rights, confidentiality obligations, or other provisions that by their nature are intended to survive termination. Juliet Systems reserves all legal and equitable rights and remedies available under applicable law, and any decision to suspend, cancel, or terminate services shall not be interpreted as a waiver of any other rights or claims available to the Company.

8. Intellectual Property

Intellectual Property Rights

All content, materials, technology, software, systems, workflows, processes, designs, branding, logos, trademarks, service marks, trade names, graphics, text, images, documentation, templates, source code, object code, scripts, automations, databases, reports, communications, and other proprietary information provided, developed, owned, licensed, or made available by Juliet Systems are and shall remain the exclusive property of Juliet Systems and its licensors, partners, or authorized providers. Juliet Systems provides reputation management services, review generation systems, customer feedback solutions, website design services, website development services, website maintenance services, digital automation services, consulting services, and related business offerings. Unless expressly stated otherwise in a separate written agreement signed by Juliet Systems, all intellectual property rights associated with our services remain the sole property of Juliet Systems. Nothing contained in these Terms, our website, our services, or any client relationship shall be construed as transferring, assigning, licensing, or granting ownership of any Juliet Systems intellectual property except to the limited extent expressly authorized in writing. Ownership of Juliet Systems Materials The following are protected by applicable copyright, trademark, trade secret, intellectual property, and other laws:

-Juliet Systems name, branding, logos, and trademarks

-Website content and marketing materials

-Service methodologies and business processes

-Review generation systems and workflows

-Customer communication templates

-Email and SMS automation sequences

-Software, code, scripts, and integrations

-Databases, reports, and analytics tools

-Training materials and documentation

-Proprietary business methods and strategies

-Website templates, layouts, frameworks, and design systems developed by Juliet Systems

-Custom automations, workflows, and technical configurations

-Any future products, services, software, content, or technologies developed by Juliet Systems

Website Services and Intellectual Property Because Juliet Systems provides website design, website development, website maintenance, and related digital services, ownership of website-related materials shall be governed by the applicable client agreement. Unless otherwise expressly stated in a written agreement:

-Juliet Systems retains ownership of its proprietary frameworks, templates, systems, code libraries, processes, automations, methodologies, and development tools.

-Clients retain ownership of content, logos, trademarks, images, and materials they provide to Juliet Systems.

-Third-party software, plugins, themes, integrations, and licensed products remain subject to the rights of their respective owners.

-Juliet Systems may utilize proprietary components, templates, scripts, workflows, and systems in the development of client websites without transferring ownership of those underlying assets.

Any license granted to a client is limited, non-exclusive, non-transferable, revocable, and subject to compliance with these Terms and any applicable agreement. Prohibited Uses Clients and users may not, directly or indirectly:

-Copy, reproduce, duplicate, or distribute Juliet Systems materials

-Modify, adapt, translate, or create derivative works from our content, software, systems, or services

-Reverse engineer, decompile, disassemble, or attempt to discover source code, algorithms, or underlying technology

-Remove, alter, or obscure proprietary notices, trademarks, copyrights, or branding

-Use Juliet Systems branding, logos, trademarks, trade names, or service marks without prior written permission

-Sell, sublicense, lease, rent, transfer, assign, or commercially exploit our intellectual property

-Use our materials to create competing products or services

-Access or use our systems for benchmarking, competitive analysis, or unauthorized commercial purposes

-Misappropriate, copy, or otherwise exploit our proprietary business methods, workflows, or technologies

Enforcement of Rights Juliet Systems reserves all intellectual property rights not expressly granted under these Terms. Any unauthorized use of our intellectual property may result in immediate suspension or termination of services and may subject the offending party to legal action, including claims for injunctive relief, monetary damages, attorneys' fees, court costs, and any other remedies available under applicable law. Nothing in these Terms shall limit Juliet Systems' ability to protect and enforce its intellectual property rights to the fullest extent permitted by law.

9. Limitation of Liability

Limitation of Liability

To the fullest extent permitted by applicable law, Juliet Systems, its owners, officers, directors, employees, contractors, affiliates, agents, licensors, successors, assigns, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or other damages arising out of or relating to the use of, inability to use, reliance upon, or performance of our website, services, products, software, communications, systems, or business offerings. Juliet Systems provides reputation management services, review generation systems, customer feedback solutions, website design services, website development services, website maintenance services, automation services, consulting services, and other digital business solutions. While we strive to provide professional and effective services, all services are provided on an "as is" and "as available" basis to the maximum extent permitted by law.

Without limiting any other provision of these Terms, Juliet Systems shall not be liable for any:

-Loss of business opportunities

-Loss of revenue or income

-Loss of profits or anticipated profits

-Loss of customers or customer relationships

-Loss of contracts or commercial opportunities

-Loss of goodwill or reputation

-Loss of data, content, records, or information

-Loss of website traffic or online visibility

-Loss of search engine rankings

-Loss of leads, conversions, or sales

-Business interruption or operational downtime

-Service interruptions or communication failures

-Delays in project completion or service delivery

-Security incidents, cyberattacks, hacking attempts, malware, ransomware, or unauthorized access

-Third-party platform actions or policy enforcement

-Review removals, review filtering, or review suppression

-Hosting failures, server outages, or internet disruptions

-Software errors, technical malfunctions, bugs, or compatibility issues

-Indirect, incidental, special, consequential, exemplary, or punitive damages of any kind
